Domain Name Terms

Where the Services include domain name registration, transfer or renewal, these Domain Name Terms apply as an ancillary document to our General Terms & Conditions.

1. Domain registration

1.1 We will use reasonable endeavours to register the domain name you request. However, we do not guarantee that:

• the domain name is available;

• the relevant registry will accept the application;

• the domain name will remain available while your application is processed; or

• the domain name will be suitable for your business or intended use.

1.2 A domain name is not registered until registration has been confirmed by the relevant registrar or registry.

1.3 We will not be responsible if a registry or registrar refuses to register, suspends, cancels, transfers or revokes a domain name, provided this is not caused by our breach of contract or negligence.

2. Registry and registrar terms

2.1 Domain names are registered and managed under the rules, policies and terms of the relevant domain name registry and registrar. These may include Nominet for .uk domains, ICANN policies for certain generic top-level domains, and the terms of the relevant domain extension.

2.2 You agree to comply with all applicable registry, registrar and domain name policies. Those policies form part of the terms governing your domain name and may be updated from time to time.

2.3 If there is a conflict between these Domain Name Terms and a mandatory registry or registrar rule, the relevant registry or registrar rule will take priority.

3. Registrant information and ownership

3.1 Where permitted by the relevant registry, the domain name will be registered in your name or in the name of the business you represent. You will be the registrant of the domain name, subject to payment of all applicable charges and compliance with the relevant registry’s rules.

3.2 You must provide accurate, complete and up-to-date registrant and contact information. You must promptly tell us about any changes to that information and complete any verification requested by us, the registrar or the registry.

3.3 Incorrect, incomplete or outdated information may result in the domain name being suspended, cancelled or transferred in accordance with the relevant registry’s rules.

3.4 You are responsible for ensuring that your chosen domain name does not infringe any third-party rights, including trade mark or passing-off rights. We do not carry out searches or provide legal advice about domain name availability or infringement.

4. Fees and renewal

4.1 You must pay all applicable registration, transfer, renewal, administration and other domain-related charges. Registry or registrar fees may change from time to time.

4.2 Unless you instruct us otherwise in writing at least [number] days before the expiry date, we will use reasonable endeavours to renew the domain name automatically.

4.3 We will normally attempt to contact you before renewal using the contact details we hold for you. You remain responsible for ensuring that the domain name is renewed and that all renewal charges are paid, whether or not you receive a reminder.

4.4 Automatic renewal may not take place if:

• payment is not received when due;

• your payment method has failed or expired;

• the domain name is subject to a dispute, suspension or registry restriction;

• the domain name is no longer available for renewal; or

• you have instructed us not to renew it.

5. Expiry, suspension and loss

5.1 If a domain name expires, the website, email and other services connected to it may stop working.

5.2 After expiry, the domain name may enter a grace, redemption or recovery period. Additional fees may apply, and recovery may not be possible.

5.3 We are not responsible for the loss, suspension or interruption of a domain name caused by:

• your failure to pay renewal charges;

• inaccurate or unverified registrant information;

• your failure to respond to a registry or registrar request;

• a registry or registrar decision;

• a domain name dispute; or

• any other event outside our reasonable control.

Nothing in this clause excludes or limits liability that cannot legally be excluded or limited.

6. Domain transfers

6.1 You may request that a domain name be transferred to another registrar, subject to the rules and procedures of the relevant registry or registrar.

6.2 We will provide reasonable assistance with a transfer where:

• you have paid all undisputed domain-related charges;

• the domain name is not subject to a valid transfer restriction;

• you have provided the information and authorisations reasonably required; and

• the transfer complies with the applicable registry or registrar rules.

6.3 We may charge a reasonable administration or transfer fee where this is stated in advance.

6.4 A domain transfer may take time and may temporarily affect the website or email services. We do not guarantee that a transfer will be accepted or completed by the new registrar.

7. Suspension and termination

We may suspend, lock or cancel a domain name where reasonably necessary to:

• comply with a registry, registrar, court or regulatory instruction;

• address a security, fraud, abuse or spam issue;

• comply with applicable law;

• respond to a domain ownership dispute;

• recover unpaid domain-related charges; or

• protect our systems or other customers.

We will give notice where reasonably practicable, unless doing so would be unlawful or would increase the risk of harm.

8. Domain disputes

You are responsible for resolving any dispute concerning your chosen domain name, including claims relating to trade marks, passing off, intellectual property or ownership.

You agree to reimburse us for reasonable losses, costs and expenses arising from a claim or dispute caused by your registration or use of the domain name, except to the extent caused by our breach of contract or negligence.

9. Data protection

We and the relevant registrar or registry may process registrant and contact information for the purposes of registering, administering, verifying, transferring and renewing the domain name.

The processing of personal data will be subject to applicable data protection legislation and our Privacy Policy.

Your details may be displayed publicly on the WHOIS or RDAP database in line with the relevant registrar or registry’s terms.
